What are the Company Types Possible in Saudi Arabia?

Saudi Arabia has 5 company types under its Companies Law: LLC, Simplified Joint Stock Company, Joint Stock Company, General Partnership, and Limited Partnership. Foreign companies that don’t want to incorporate a new Saudi entity can instead enter through a branch, a regional headquarters, or, for Saudi/GCC citizens, a sole proprietorship.

Types of Business Structures in Saudi Arabia

According to the recent Companies Law, there are five types of corporate legal entities that can be formed in Saudi Arabia: LLC, Simplified Joint Stock Company, Joint Stock Company, General Partnership, and Limited Partnership.

Additionally, foreign companies can also enter the Saudi market through a branch of a foreign company, establishing regional headquarters, or forming a sole proprietorship. 

1. Limited Liability Company

An LLC is the most popular legal entity choice for foreign investors and local business owners in Saudi Arabia.

Your personal liability stays capped at the exact capital you put into the firm. Saudi Arabia removed the 50-shareholder limit, so you can set up an LLC with a single owner or multiple partners. Setting up an LLC in Saudi Arabia gives you full foreign ownership for most business activities.

2. Simplified Joint Stock Company 

The Simplified Joint Stock Company (SJSC) is a flexible corporate structure built for tech startups and companies looking to scale quickly.

You do not need a minimum capital to launch an SJSC. You also do not need a traditional board of directors. You can issue different share classes, like preferred or non-voting shares, making it easy to raise money from angel investors or venture capital funds.

3. Joint Stock Company

A Joint Stock Company (JSC) is a good company type for large enterprises, major joint ventures, and companies planning to go public in Saudi Arabia.

You need a minimum capital of SAR 500,000 to form a JSC. You can set it up as a closed company or list it on the Saudi Exchange (Tadawul). This structure requires a formal board of directors with at least three members and annual audited financial statements.

4. General Partnership

A General Partnership involves two or more partners who share unlimited personal liability for every business debt. If the company owes money, creditors can go after your personal assets. Because of this risk, mostly local family businesses or traditional partners use this structure. 

5. Limited Partnership

A Limited Partnership splits your owners into active managers and passive investors. General Partners run the daily operations and take on full personal liability. Limited Partners put up the capital, stay out of daily management, and only risk the money they invest.

Saudi Market-Entry Options for Foreign Companies

If you don’t want to establish a new Saudi legal entity, there are three additional routes for a foreign company to establish a presence in the Kingdom: setting up a branch of a foreign company, regional headquarters, or a sole proprietorship. 

1. Branch of a Foreign Company

A Branch Office acts as a direct extension of your existing overseas firm. A branch is not a separate legal entity. Your parent company keeps 100% financial and legal responsibility for everything the Saudi branch does.

A foreign company registration in Saudi Arabia lets your overseas parent firm trade directly in the Kingdom under its established global name. Once approved, your Commercial Registration lets you sign local client contracts.

2. Regional Headquarters

A Regional Headquarters (RHQ) gives your multinational company a local base to direct your Middle East operations.

You get major incentives through an RHQ, including tax breaks, visa perks, and access to Saudi government tenders. Your RHQ handles management and regional strategy rather than direct local sales.

3. Sole Proprietorship

A Sole Proprietorship is an individual business owned by one person. It has no corporate liability protection. You are personally responsible for every invoice and contract. Sole proprietorship registrations are only open to Saudi and GCC citizens.

How to Choose the Right Company Type in Saudi Arabia? 

There are four factors that will affect the legal entity you choose for business setup in Saudi Arabia: your personal liability, minimum capital, ownership, and whether you already have a company outside KSA.  

An LLC, JSC, or SJSC keeps your liability capped at the capital you invest. A general partnership doesn’t offer that protection: you and your partners stay personally responsible for the company’s debts.

You can launch an LLC or SJSC with no minimum capital. A JSC requires SAR 500,000 in issued capital, but it’s the only structure that lets you list shares on the Saudi Exchange (Tadawul). 

An LLC lets you own 100% of your company as a single foreign investor. An SJSC goes a step further by letting you create different share classes, which is useful if you’re planning to raise capital across multiple funding rounds.

If you already run a company abroad, you may not need a new Saudi entity at all. A branch or regional headquarters lets you operate locally under your existing business, without going through full incorporation.
