  1. MISA license
    Foreign-owned entities require a license from the Ministry of Investment (MISA). The licenses are categorized based on sectors and activities.   2. Commercial Registration (CR) and company formationMinistry of Commerce (MCI)
    MC oversees and regulates commercial activities in Saudi Arabia. That includes company formation and registration, and type of structure (LLC, branch,joint stock,etc.) The same flow links your entity to key agencies (HRSD, ZATCA, GOSI, National Address, Chamber of Commerce).
  3. National AddressSaudi Post | SPL
    A National Address is mandatory for entities. This address becomes the official point of contact for all government communications, legal notices, and deliveries. 
  4. Municipal license (where applicable)Balady platform
    This is required for businesses that operate from a physical location, such as offices, shops, restaurants, or warehouses.
  5. Tax & e‑invoicing readinessZATCA
    • VAT: Mandatory registration if annual taxable supplies exceed SAR 375,000 (optional between SAR 187,500–375,000).
    • E‑Invoicing (FATOORAH): Mandatory e‑invoices in two phases; systems must follow ZATCA specs.
  6. HR and labor complianceHRSD/Qiwa and GOSI
    • HRSD: Establishment registration and employment regulator. 
    • Qiwa: Establishment employment services management portal, such as work visa quota, registering employees, subsidization monetizing,etc.
    • GOSI: Employer registration and employee contributions are mandatory.
  7. Chamber of Commerce membership – by location (linked in MCI service).
  8. Bank account & Wages Protection (WPS/Mudad) practical go‑live items; we coordinate as part of activation and payroll compliance. 

What changes for restaurants (sector‑specific)

Saudi Arabia now applies unified municipal requirements to food establishments (restaurants, cafés, cloud kitchens, kiosks), including Saudi Building Code compliance (ventilation, drainage), materials specs, and on‑site hygiene practices.

1) Municipal restaurant license (activity‑specific)

  • Issued via Balady, mapped to your exact activity and floor plan; validity and renewals handled online.
  • Backed by the Ministry’s Health Requirements Regulations for Restaurants, Kitchens & similar establishments (public health, facility layout, sanitation).

2) Health certificates for staff (food handlers)

  • Food‑handling employees must hold municipal health certificates; verification is digital via Balady/MoMRAH. We arrange the screenings and issuance. 

3) Civil Defense safety clearance (fire/life safety)

  • Restaurants require Civil Defense safety licensing (e.g., alarms/suppression, exits, gas, ventilation). We file via the Civil Defense Safety Portal and coordinate inspections.

4) Menu nutrition & labeling (SFDA) — 2025 update

  • Effective July 1, 2025, SFDA requires nutritional information on menus (applies to physical & digital menus, and delivery platforms). We ensure your menu and POS flow comply.

5) If you import food directly or run a central kitchen

  • SFDA registration (establishment & products) through FIRS/FRCS; importer accounts and product clearances are required before customs clearance. We set up and steward this process.

Point‑of‑sale and payments: what’s mandatory

Electronic payments must be offered, and simplified e‑invoices with QR codes must be issued to customers.
